Wholesale Terms & Conditions

These Wholesale Terms & Conditions ("Terms") are between Anna Raeva, doing business as CACHI – Magnetic Frames for Needlepoint ("CACHI," "we," "us"), and the business purchasing from us ("Retailer," "you"). They apply to every wholesale application, quote, order and purchase. By submitting a wholesale application, placing an order, or paying an invoice, you agree to these Terms. They apply to each order together with our current Wholesale Price List.

1. Wholesale Accounts

Wholesale pricing is available only to approved businesses that resell needlepoint products to end customers, such as needlepoint shops, designers and online retailers. We may ask for business information, including a seller's permit or resale certificate, and may approve or decline any application at our discretion.

2. Orders

  • Minimum order quantities, per-item minimums and prices are set out in our current Wholesale Price List.
  • An order is accepted once we confirm it in writing (including by email).
  • Any additional or different terms in your purchase order or other documents do not apply unless we agree to them in a writing signed by us.
  • You may cancel an order for a full refund before production begins.
  • We may update prices and minimums at any time. Changes do not affect orders we have already accepted.

3. Payment

  • Payment is due at the time of order unless we agree otherwise in writing.
  • Accepted payment methods are listed on the Wholesale Price List and your invoice.
  • Production begins once payment is received.

4. Production and Shipping

  • Frames are made to order in-house. Typical lead times are listed on the Wholesale Price List; they are estimates, not guarantees, and may vary with production volume or circumstances beyond our control.
  • Shipping terms are listed on the Wholesale Price List. Title and risk of loss pass to you when the order is delivered to your shipping address.

5. Damaged or Defective Items

  • Please inspect your order on arrival and notify us within 14 days of delivery of any items that are damaged in shipping or defective, with photos.
  • We will replace those items at no cost to you.
  • Because frames are made to order, we do not accept returns of non-defective items.

6. Warranty

We warrant that frames will be free from defects in materials and workmanship when delivered. Replacement under Section 5 is your sole and exclusive remedy for any breach of this warranty.

EXCEPT FOR THE WARRANTY ABOVE, FRAMES ARE SOLD "AS IS," AND WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

7. Custom Sizes, Shapes and Designs

  • We make frames in custom sizes and shapes on request. Custom orders are final once production has started.
  • For new custom sizes, we may provide a sample or prototype for approval before production. Approval of a sample confirms the size and fit for the order.
  • We keep all rights we have in our frame designs, profiles, molds, digital files and production methods, including those developed at a Retailer's request. Nothing in these Terms or in any order transfers those rights to you.
  • Making a frame in a particular size, shape or design at a Retailer's request does not give that Retailer any exclusive right to it. We may make, market and sell frames in any size, shape or design to any customer.
  • Exclusivity of any size, shape or design is granted only by a separate written agreement signed by both parties.

8. Your Designs, Names and Logos

  • Your canvases, artwork, names and logos remain yours. Any canvas images or dimensions you share with us are used only to design and produce your frames.
  • We will not use your name, logo or images of your canvases in our marketing without your written permission.
  • If you ask us to add your name or logo to frames or packaging ("custom-branded frames"), you confirm that you own or are authorized to use it, and you allow us to use it solely to produce your orders. Custom-branded frames are made only for you.

9. Resale

  • Wholesale frames are sold for resale to end customers through your own retail channels (in store or online).
  • Reselling CACHI frames at wholesale to other retailers or distributors requires our prior written consent.
  • Except for custom-branded frames, you may not remove CACHI branding from frames or packaging, or present CACHI frames as made by another company, without our written consent.
  • Suggested retail prices, where provided, are recommendations only. You are free to set your own retail prices.

10. Use of CACHI Materials

You may use our product photos, descriptions and name to promote and sell CACHI frames you have purchased from us, but not in a way that suggests we endorse your business beyond supplying our frames. This permission ends if you stop carrying our frames.

11. Limitation of Liability

To the fullest extent permitted by law, our total liability for any order is limited to the amount you paid for that order, and we are not liable for indirect, incidental or consequential damages, including lost profits.

12. General

  • These Terms, together with our Wholesale Price List and any written order confirmation, are the entire agreement for each order. If they conflict, a separate written agreement signed by both parties controls, then these Terms, then the Price List.
  • We may update these Terms from time to time. The version posted on this page when you place an order applies to that order. We will notify active wholesale accounts of material changes.
  • If any part of these Terms is found unenforceable, the rest remains in effect. Our not enforcing any provision is not a waiver of it.
  • These Terms are governed by the laws of the State of California. Any dispute will be resolved in the state or federal courts located in California.
